# Should a staffing agency be an LLC or an S-corp?

Market: US. Cluster: Starting. Updated: 2026-08-31. Source: https://launch-rec.com/answers/llc-or-s-corp-for-a-staffing-agency

## Direct answer

Most US staffing founders form an LLC and elect S-corp taxation once profit reliably exceeds a reasonable salary, which cuts self-employment tax on distributions. If you intend to raise institutional equity or issue options, a Delaware C-corp is the cleaner structure. The entity does not change your licensing or payroll obligations.

## Key facts

| Fact | Detail |
| --- | --- |
| Default founder choice | LLC, S-corp election when profitable |
| Institutional raise | Delaware C-corp |
| Affects licensing or payroll duties | No |

## Detail

The entity question is a tax and investability question, not an operating one. Whatever you choose, you still register for state payroll accounts, still carry workers' compensation and still need the same insurance certificates.

An LLC with an S-corp election is the common answer for a founder-owned agency. Profit above a reasonable salary is distributed without self-employment tax, which is meaningful once a perm desk is throwing off six figures. The trade-off is administrative: you must actually run payroll for yourself and defend the salary figure as reasonable.

A C-corp becomes the right answer when outside equity is in the plan. Institutional investors expect Delaware C-corp stock, a clean cap table and an option pool. Converting later is possible but it is legal spend and friction at exactly the moment you want momentum.

There is a third consideration that founders miss: acquirers of staffing businesses often prefer an asset purchase, and the entity type changes the tax outcome of that deal for you personally. If a three to five year exit is the plan, take the advice before formation rather than in diligence.

## How this differs by US state and metro

The answer above holds nationally. What changes locally is registration, insurance, wage rules and how much cash each contractor consumes — these are the states and metros founders ask us about most.

| Location | Metros | Local consideration |
| --- | --- | --- |
| North Carolina (https://launch-rec.com/start-a-staffing-agency/north-carolina) | Charlotte, Raleigh–Durham, Greensboro | Register with the North Carolina Department of Revenue for withholding |
| South Carolina (https://launch-rec.com/start-a-staffing-agency/south-carolina) | Charleston, Greenville, Columbia | Register with the South Carolina Department of Revenue for withholding |
| New York (https://launch-rec.com/start-a-staffing-agency/new-york) | New York City, Brooklyn, Long Island | New York City licenses employment agencies through the Department of Consumer and Worker Protection — confirm whether your model falls inside that definition before you place |
| Texas (https://launch-rec.com/start-a-staffing-agency/texas) | Dallas–Fort Worth, Houston, Austin | Texas has no state personal income tax, so there is no state withholding to administer — but franchise tax still applies above the revenue threshold |

## Local questions

**Does this change if I start in North Carolina?**

The national answer holds. What changes in North Carolina is local: Register with the North Carolina Department of Revenue for withholding Check the North Carolina page before you register anything, and model the cash gap on North Carolina pay rates rather than national averages.

**Is the answer different in South Carolina than in North Carolina?**

The economics are the same shape; the local detail is not. In South Carolina: Register with the South Carolina Department of Revenue for withholding That affects your registration checklist and your working capital number, not the underlying principle.

**Which US cities does this apply to?**

All of them — but we publish metro-level bill rate, wage and startup cost detail for Charlotte, Raleigh–Durham, Charleston, Greenville and more, because pay rates and buyer mix vary far more between metros than between states.

**Do I need a separate licence in every state I place in?**

You register where you have employees and where you do business, not once nationally. Most states require unemployment insurance and withholding registration plus workers' compensation cover; a minority licence employment agencies, and some cities — New York City among them — licence separately from the state. Confirm each state and city before your first placement there.
