## Detail

There is no universal 'best' US entity for a UK owner. A subsidiary can ring-fence operating contracts and make US accounting clearer; a branch is simpler legally but can expose the UK company directly and complicate tax reporting.

Choose with the operating model in view. A perm search desk with US employees, a contract staffing arm paying W-2 workers and a cross-border executive search consultancy create different payroll, insurance and permanent-establishment questions.

Delaware is not a substitute for operating registration. If the company trades in New York, Texas or another state, it may need foreign qualification and payroll accounts there regardless of where the entity was formed.

Open the bank, payroll and insurance workstream early. A US entity with no ability to pay workers, issue W-2s or provide a client certificate is not ready to trade, and those services often take longer than formation.
